Please read these terms carefully before engaging our services. By working with us, you agree to what is written here.
1. Agreement to Terms
These Terms and Conditions form a legally binding agreement between you (the Client) and Freshy Web LLP, operating under the brand name Idealysis (
By engaging our services, signing a proposal, making a payment, or continuing to use our services, you confirm that you have read, understood, and agreed to these terms. If you do not agree, please do not proceed with our services.
Note: These terms apply to all services provided by Idealysis including SEO, web development, digital marketing, and any other services we may offer.
2. Our Services
Idealysis (Freshy Web LLP) provides digital marketing and web services including:
- Search Engine Optimization (SEO)
- Website Design and Development
- Local SEO and Google Business Profile Optimization
- AI Search Optimization and Digital Marketing Services
- Content Writing and On-Page SEO
- E-commerce SEO, and Shopify Store Creation
The scope of work for each project is defined in the individual proposal or service agreement provided to you before the project begins.
3. SEO Service Terms
3.1 Minimum Engagement Period
SEO is a long-term strategy. The minimum engagement period for SEO services is 4 to 6 months, as specified in your individual proposal. This period may vary based on your project scope, competition level, and agreed deliverables.
We require this minimum period because SEO results take time to materialise. Google and other search engines take weeks to crawl, index, and rank updated content. Cancelling early does not produce results and wastes both parties’ time and resources.
3.2 No Guarantee of Rankings
We do not guarantee specific rankings, traffic numbers, or business outcomes. No legitimate SEO agency can make such guarantees because search engine algorithms are controlled by Google, Bing, and other third parties entirely outside our control.
What we do guarantee is that we will apply industry best practices, transparent reporting, and dedicated effort to improve your website’s visibility over time.
3.3 Client Responsibilities for SEO
For SEO campaigns to be effective, you agree to:
- Provide access to your website, Google Search Console, and Google Analytics when required
- Respond to requests for content approvals, feedback, or information within a reasonable timeframe
- Inform us of any major changes to your website or business that could affect the campaign
- Not engage another SEO agency simultaneously without our prior knowledge
3.4 Reporting
We provide monthly performance reports covering keyword rankings, organic traffic, and key campaign milestones. Reports are delivered via email or as agreed in your proposal.
4. Website Design & Development Terms
4.1 Project Scope
The scope of each web design or development project is defined in the proposal you receive before work begins. Any changes to the agreed scope after work has started may result in additional charges and revised timelines. We will always notify you and seek approval before proceeding with out-of-scope work.
4.2 Client Responsibilities for Web Projects
You are responsible for providing:
- All content (text, images, logos, brand assets) required for the website in a timely manner
- Domain and hosting access where required
- Timely feedback and approvals at each project stage
- Any domain, hosting, SSL, Emails, and third-party software licences (themes, plugins, tools) not included in our quote
Delays caused by late content submission or slow feedback from your side may extend the project timeline. We are not responsible for delays caused by client inaction.
4.3 Revisions
Each project includes a set number of revision rounds as specified in your proposal. Revisions beyond the included rounds will be charged at our standard hourly rate or as agreed in writing.
4.4 Website Launch and Handover
Once the website is completed and approved by you, we will launch it or hand over the files as agreed. After handover, any further changes or maintenance are subject to a separate agreement or our standard support rates.
4.5 Third-Party Platforms and Plugins
We may use third-party platforms (WordPress, Webflow, Shopify, etc.) and plugins to build your website. We are not responsible for changes, updates, or issues caused by third-party platform providers after project handover.
5. Payment Terms
5.1 Invoicing and Payment
We accept payments via PayPal and Wise. Payment terms are specified in your proposal. In most cases, an upfront payment is required before work begins.
5.2 Monthly Retainers
For ongoing services (such as SEO retainers), monthly payments are due on the agreed date each month. If payment is not received within 7 days of the due date, we reserve the right to pause campaign activities until the outstanding amount is settled.
5.3 Late Payments
Late payments may attract an interest charge of 1.5% per month on the outstanding amount, unless otherwise agreed in writing. Continued non-payment may result in termination of services.
5.4 Taxes
All prices quoted are exclusive of applicable taxes unless stated otherwise. Clients based in India will be charged applicable GST. International clients are responsible for any taxes, duties, or withholding charges applicable in their own country.
6. Intellectual Property
Once full payment for a project is received, ownership of the deliverables (website files, content, design assets) transfers to you. Until full payment is made, all work remains the property of Freshy Web LLP.
You grant us the right to use your project in our portfolio, case studies, or marketing materials unless you explicitly request otherwise in writing before the project begins.
Any pre-existing tools, frameworks, code libraries, or methodologies we use remain our intellectual property at all times.
7. Confidentiality
Both parties agree to keep each other’s confidential business information private. We will not share your business data, strategies, or proprietary information with third parties except where required to deliver your project.
This confidentiality obligation remains in effect even after the end of our working relationship.
8. Limitation of Liability
Important: Please read this section carefully as it limits our liability to you.
To the maximum extent permitted by applicable law, Freshy Web LLP and Idealysis will not be liable for:
- Loss of revenue, profits, or business opportunities arising from our services
- Search engine algorithm changes that negatively affect your rankings or traffic
- Downtime or data loss caused by your hosting provider or third-party platforms
- Indirect, incidental, or consequential damages of any kind
Our total liability to you for any claim arising from our services will not exceed the total amount you have paid us in the three months prior to the claim.
9. Termination
9.1 Termination by Client
You may terminate services by providing 30 days’ written notice. Termination does not entitle you to a refund of any payments already made. If you terminate before the agreed minimum engagement period ends, any outstanding balance for the remaining period may still be due as per your proposal.
9.2 Termination by Us
We reserve the right to terminate services immediately if:
- You fail to make payments as agreed
- You engage in behaviour that is abusive, threatening, or unethical toward our team
- You ask us to perform work that is illegal or violates search engine guidelines
- You materially breach these Terms and Conditions
In such cases, no refund will be issued for work already completed.
